GENERAL

All wholesale orders are subject to acceptance and confirmation by Hebe Concept. Once an order has been confirmed, it is considered binding for both Hebe Concept and the customer.

Hebe Concept reserves the right to cancel or postpone an order in circumstances beyond its reasonable control, including force majeure, production delays, shortages of materials, supplier delays or other circumstances affecting the production or availability of the ordered products.

A confirmed order may be cancelled by the customer subject to a cancellation fee of 30% of the total confirmed order value.

Hebe Concept reserves the right to suspend the processing or delivery of new or existing orders if the customer has outstanding overdue payments.

PRICES

All wholesale prices are stated in the currency indicated in the order or order confirmation.

Unless otherwise agreed, prices do not include shipping costs.

For orders placed in EUR and shipped outside the European Union, any applicable customs duties, import taxes, import VAT and other charges imposed in the destination country are the responsibility of the customer.

For orders placed in USD, applicable duties and taxes are included in the agreed price, unless otherwise stated in the order confirmation.

TERMS OF PAYMENT

Payment is due when the order is ready for shipment and must be received in full before the goods are dispatched or released for collection.

Payment is considered completed once the full amount has been received in the bank account specified on the invoice.

Hebe Concept reserves the right to withhold shipment or release of the goods until full payment has been received.

DELIVERY AND SHIPPING

The customer may arrange transportation independently or request Hebe Concept to arrange transportation on their behalf.

Where Hebe Concept arranges the shipment, shipping costs are calculated once the order is reviewed and ready for shipment, when the final shipment dimensions, weight and other relevant parameters are known. The applicable shipping cost will be communicated to the customer before dispatch. The risk of loss of or damage to the goods remains with Hebe Concept until the goods have been delivered to the customer.

Where the customer arranges the shipment, the customer is responsible for organizing the collection and transportation of the goods. The risk of loss of or damage to the goods passes to the customer when the goods are handed over to the carrier arranged by the customer.

Any delivery dates or lead times communicated by Hebe Concept are estimates and may be subject to reasonable changes due to production, transportation or circumstances beyond the control of Hebe Concept.

Delays caused by force majeure or other circumstances beyond Hebe Concept’s reasonable control do not entitle the customer to cancel the order without the applicable cancellation fee. 

PROPERTY

The goods remain the property of Hebe Concept until full payment for the respective order has been received.

FORCE MAJEURE

Hebe Concept shall not be liable for failure or delay in fulfilling its obligations where such failure or delay results from circumstances beyond its reasonable control, including, but not limited to, natural disasters, war, strikes, transportation disruptions, governmental restrictions, supply shortages, production interruptions or failures by suppliers or other third parties.

The delivery period shall be extended for the duration of such circumstances and for a reasonable period thereafter required to resume normal operations.

GOVERNING LAW AND JURISDICTION

These Terms of Delivery and Sales and all wholesale orders placed with Hebe Concept shall be governed by the laws of the Republic of Latvia.

Any dispute arising out of or in connection with these terms or a wholesale order shall be subject to the jurisdiction of the courts of the Republic of Latvia.
